This Warranty Policy applies to hardware and software products marketed under the Greenlux® and Valoya® brands, which are brands owned by Greenlux Lighting Solutions Oy.
1.1
This warranty policy (“Warranty Policy”) applies to all Greenlux® and Valoya® branded hardware and software products (hereinafter “Product”) sold on or after March 1, 2019 by Greenlux Lighting Solutions Oy or via an authorized reseller approved by Greenlux Lighting Solutions Oy (hereinafter “Reseller”). A list of authorized Valoya resellers is available at www.valoya.com/contact.
1.2
This Warranty Policy is subject to the provisions set forth herein and constitutes the complete terms and conditions governing product warranties (hereinafter “Terms and Conditions”).
1.3
Unless otherwise agreed in writing, this Warranty Policy applies exclusively between Greenlux Lighting Solutions Oy and the Purchaser, meaning a business entity or individual acting in the course of trade, business, or professional activity who has purchased the Product directly from Greenlux Lighting Solutions Oy or from a Reseller. This Warranty Policy applies exclusively to business customers and does not apply to consumers or to private individuals acting outside their trade, business, or professional activity.
1.4
If the Product was purchased through a Reseller, these Warranty Terms apply in full; however, all warranty claims must be submitted through the Reseller who sold the Product.
1.5
Only Purchasers who have purchased Products from Greenlux Lighting Solutions Oy or its authorized Resellers are entitled to any rights under this Warranty Policy.
Subject to these Terms and Conditions, the warranty period for Products is five (5) years, unless otherwise stated in the applicable product data sheet or in Section 4 of this Warranty Policy (hereinafter “Warranty Period”). The Warranty Period begins on the date of invoice.
3.1
Greenlux Lighting Solutions Oy warrants that the Products conform to the technical specifications provided by Greenlux Lighting Solutions Oy and are free from defects in materials and workmanship under normal and proper storage, installation, maintenance, and intended use during the Warranty Period.
3.2
If a Product covered by this Warranty is determined by Greenlux Lighting Solutions Oy, acting reasonably and in good faith, to be defective (hereinafter “Defective Product”), and is returned in accordance with these Warranty Terms, Greenlux Lighting Solutions Oy will repair the Product. If repair is not possible or otherwise deemed inappropriate, Greenlux Lighting Solutions Oy will, at its option, either replace the Product or refund the purchase price. Replacement Products may be comparable models if the original Product has been discontinued, and may differ slightly in design or specifications. Any Defective Product replaced or refunded becomes the property of Greenlux Lighting Solutions Oy.
3.3
This Warranty does not apply to, and Greenlux Lighting Solutions Oy shall not be responsible for, damage or failure resulting from misuse, negligence, force majeure, accidents, or repairs, modifications, or alterations performed by parties other than Greenlux Lighting Solutions Oy or its authorized subcontractors.
3.4
Greenlux Lighting Solutions Oy shall not be liable for costs or expenses related to installation, removal, reinstallation, engineering, architectural planning, labor, or any other associated expenses.
3.5
This Warranty shall be void in cases of abnormal use or stress, including but not limited to power surges, under- or over-voltage/current conditions, or excessive switching cycles. No warranty is provided regarding compliance with local or foreign building codes.
3.6
The warranty and remedies provided herein do not apply to any advice, assistance, or services provided by Greenlux Lighting Solutions Oy, its Resellers, or subcontractors, all of which are provided without warranties of any kind.
3.7
This Warranty is the sole and exclusive warranty provided by Greenlux Lighting Solutions Oy with respect to the Products and supersedes all other express or implied warranties, including but not limited to warranties of merchantability, non-infringement, and fitness for a particular purpose. Product descriptions, illustrations, and performance data contained in catalogues, price lists, marketing materials, or technical documentation do not constitute part of this Warranty.
3.8
No agent, Reseller, distributor, or dealer is authorized to modify or extend these Warranty Terms on behalf of Greenlux Lighting Solutions Oy.
3.9
Warranty claims shall be assessed by Greenlux Lighting Solutions Oy acting reasonably and in good faith.
3.10
These Warranty Terms are governed by the laws of Finland, excluding conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply. All disputes arising from or relating to this Warranty shall be subject to the exclusive jurisdiction of the Helsinki District Court. The parties expressly agree that the Helsinki District Court shall have exclusive jurisdiction for all disputes arising between commercial parties under or in connection with this Warranty Policy.
4.1
This Section 4 applies exclusively to Valoya® branded LLCC-Series ultraviolet products, including all UV-A, UV-B, and UV-C luminaires and modules (collectively, “UV Products”). The provisions of this Section 4 supplement, and where in conflict prevail over, the general provisions of this Warranty Policy with respect to UV Products.
4.2
Due to the inherent physical and material characteristics of ultraviolet light-emitting diodes (UV LEDs), such diodes exhibit significantly higher rates of radiant flux degradation and materially shorter operational lifetimes than visible-spectrum LEDs. This behaviour is intrinsic to UV LED technology, is expected within the normal service life of the Product, and does not constitute a defect in materials or workmanship.
4.3
Notwithstanding Section 2, the five (5) year limited warranty does not apply, with respect to UV Products, to:
(a) the UV light-emitting diodes themselves; or
(b) any reduction in radiant flux, irradiance, photon output, or other measure of light output over time, including without limitation light output degradation or “lumen depreciation.”
The five (5) year limited warranty does apply, with respect to UV Products, to the electronic drivers, housings, optics, mechanical and structural components, electrical interfaces, and other non-LED system-level elements, subject to the terms of this Warranty Policy.
4.4
Greenlux Lighting Solutions Oy makes no representation or warranty as to the operational lifetime, maintained output, or maintained efficacy of the UV LEDs over the Warranty Period. The Purchaser acknowledges that periodic replacement of UV LED modules or complete UV Products may be required to maintain a target output level, and that such replacement does not, of itself, constitute a warranty event.
5.1
All warranty claims must be directed to the seller from whom the Product was purchased. Purchasers who bought Products from an authorized Reseller must contact that Reseller directly.
5.2
The Purchaser must notify the seller in writing of any alleged defect within 30 days of discovery. The notification must include at least the following:
– Product details (model and quantity)
– Installation date
– Copy of the invoice
– Detailed description of the defect
Additional information may be requested.
5.3
Products may only be returned upon request by the seller. Returned Products must follow the seller’s instructions. The seller may charge freight, testing, and handling fees for Products found not to be defective.
6.1
The allocation of risks under these Warranty Terms is reflected in the purchase price. Under no circumstances shall the liability of Greenlux Lighting Solutions Oy exceed the purchase price of the Product giving rise to the claim, whether arising in contract, tort (including negligence), or otherwise.
6.2
Greenlux Lighting Solutions Oy shall not be liable for any indirect, incidental, special, or consequential damages, including loss of use, profits, business, or goodwill, even if advised of the possibility of such damages.
6.3
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under mandatory applicable law, including mandatory product liability.
7.1
Nothing in this Warranty Policy excludes or limits any mandatory rights that cannot legally be excluded under applicable law.
7.2
Software supplied with or embedded in the Products is provided “as is” unless otherwise agreed in writing.
7.3
The Purchaser is responsible for maintaining adequate cybersecurity, backup, and system protection measures with respect to any software, network-connected device, or control system supplied by Greenlux Lighting Solutions Oy.
7.4
Authorized Resellers shall be responsible for compliance with any mandatory consumer protection laws applicable to onward sales to end users.
7.5
If any provision of this Warranty Policy is held invalid or unenforceable by a competent court or authority, the remaining provisions shall remain in full force and effect.
